ExchangiFi has released a new institutional white paper measuring the market for Section 351 tax-deferred ETF conversions. The finding is simple and large. We estimate $5.0 trillion in U.S. taxable equity assets are structurally suited to convert into ETF wrappers without triggering immediate capital gains tax.

The starting point is the Federal Reserve’s Z.1 financial accounts. American households hold about $57.7 trillion in corporate equities and fund shares. Roughly 87% of that wealth belongs to the top 10% of households. Most of it is old stock, bought cheap and worth far more now. For a top-bracket California investor, selling can cost 37.1% of the position once federal, surtax, and state layers stack up. So investors hold. The capital sits frozen.

Section 351 changes the choice. It allows an investor to contribute appreciated securities into a diversified ETF, defer the gain, and carry the original cost basis forward. The risk problem is solved now. The tax is paid later, on a chosen schedule.

Our research splits the addressable market into three pools, each with its own friction.

We also explain what falls outside the market. An estimated $150 billion in leveraged long/short assets cannot convert, because short positions are liabilities rather than transferable property.

The opportunity is enormous. The constraint is operational. Compliant baskets must clear the 25% and 50% diversification limits and the 80% control test, and every contribution must be documented and executed cleanly. That is the problem ExchangiFi was built to solve. Our platform automates compliance testing, portfolio optimization, and transaction coordination for wealth managers and ETF issuers.

This paper is the most complete public sizing of the Section 351 landscape we are aware of. It covers the methodology, the pool-by-pool diagnostics, the regulatory guardrails, and the policy case for why these conversions are most likely revenue-neutral for the Treasury.
